License Agreement

In short: all video is licensed for editorial use only and may not be used to advertise or promote any product, service, brand, or business. Exhaust audio may be used commercially on the Pro and Studio plans and with a single audio purchase.

1. Definitions

• "Cars4k," "we," "us" means CARS4K LLC, a Florida limited liability company.
• "Content" means any video clip, vertical clip, or audio file available for download on Cars4k, including its metadata. "Video Content" means video and vertical clips. "Audio Content" means exhaust and vehicle audio files.
• "Master" means the downloadable, full-resolution file of a piece of Content.
• "Plan" means the Creator, Pro, Studio, or Enterprise subscription, or a single purchase, under which you download Content, as described on our Pricing page.
• "End Product" means a work you create that combines Content with other material, such as a video, film, show, or social post, where the Content is not the main value of the work.
• "Editorial Use" means use in an End Product whose purpose is to inform, educate, entertain, comment, review, or tell a story, such as YouTube and social videos, vlogs, reviews, documentaries, news, films, and TV or streaming programs. Editorial Use includes End Products that earn money from platform advertising, subscriptions, memberships, or ticket sales, and promoting your own End Product (for example, a trailer for your own film). Editorial Use never includes Commercial Use.
• "Commercial Use" means any use to advertise, market, promote, endorse, or sell a product, service, brand, business, or event other than the End Product itself. This includes ads, branded content, sponsored content, product listings, dealership or retailer marketing, corporate and promotional videos, trade show displays, and merchandise. An End Product made for or paid for by a brand to promote that brand is Commercial Use, even if it looks editorial.
• "Sponsored Segment" means any part of an End Product that promotes a sponsor, including sponsor reads, product integrations, and sponsor end cards.
• "Own Channels" means websites, social media accounts, and video channels that you own or control and that publish under your name or brand.
• "Client Work" means an End Product you create for a client and deliver to that client.
• "Online" means websites, social media platforms, online video platforms, and podcasts.
• "Broadcast" means television, cable, satellite, streaming services, theatrical release, film festivals, in-flight entertainment, and physical media.
• "Paid Advertising" means advertising placement purchased from a platform or publisher, including paid or boosted social posts, pre-roll, display, radio, television spots, and out-of-home advertising.

2. License Grant

Subject to this Agreement, the Terms of Service, and your account being in good standing, Cars4k grants you a worldwide, non-exclusive, non-transferable, perpetual license to use each Master you lawfully download, within the scope of the Plan active when you downloaded it.

"Perpetual" means Content you downloaded while your Plan was active may keep being used in your End Products, within that scope, after your subscription ends. Cars4k keeps all ownership of the Content. You receive a license, not ownership.

3. Two License Types

3.1 Video Content: Editorial only. All Video Content, on every Plan, is licensed for Editorial Use only. You may not use Video Content for Commercial Use under any Plan or purchase.

3.2 Audio Content. Audio Content is licensed for Editorial Use on the Creator Plan, and for Commercial Use on the Pro and Studio Plans and with a single audio purchase, within the limits in Section 4.

4. Scope by Plan

4.1 Client Work. On Pro and Studio, you may deliver End Products containing Content to your client. Your client may use the End Product only within your Plan's scope and may not extract the Content or use it separately. You are responsible for your client's compliance.

4.2 Sponsored content. Video Content may appear in an editorial End Product that includes a Sponsored Segment, but not inside the Sponsored Segment itself.

4.3 Upgrades. If you move to a higher Plan, Content you downloaded under a lower Plan is licensed at the higher Plan's scope from the date of the upgrade. A license is never downgraded.

5. Permitted Uses

Within your Plan's scope, you may:

• Edit, cut, resize, color-grade, and combine Content into End Products.
• Distribute your End Products in the media your Plan covers.
• Use Content in an unlimited number of your own End Products, with no expiration.
• Earn money from your End Products as your Plan allows.

6. Prohibited Uses

Regardless of Plan, you may not:

• Use Video Content for Commercial Use, in Paid Advertising, or inside a Sponsored Segment.
• Use Content outside your Plan's scope.
• Redistribute, resell, or share Content as-is or in a way that competes with Cars4k, including uploading it to any stock, footage, sound, or media library, or offering it for download, streaming, or sale on its own.
• Use Content as the main value of a product, such as a clip pack, template, sound pack, NFT, screensaver, ringtone, or wallpaper app.
• Sublicense, rent, lend, assign, or transfer your rights, except delivering Client Work as allowed in Section 4.1.
• In any Commercial Use of Audio Content, name or imply the make, model, or brand of the vehicle recorded, or use the audio as a sound logo or trademark.
• Alter Content, or place it in a context, that is false, misleading, or defamatory about any vehicle, brand, or identifiable person, such as implying a defect, crash, or illegal driving.
• Imply that any vehicle manufacturer, brand, driver, or person shown endorses, sponsors, or is affiliated with you or your End Product.
• Use Content with pornographic, hateful, or discriminatory material, or to promote illegal activity.
• Use Content to train, develop, fine-tune, or evaluate any machine learning or generative AI model, or to build a dataset, without our prior written permission.
• Remove or obscure the watermark on a free download, or get around download limits, access controls, or signed-URL protections.

7. Downloads and Limits

• Each Plan includes the monthly download allowance shown on the Pricing page. Allowances reset each month on your billing day, including on annual Plans, and unused downloads do not roll over.
• The allowance counts distinct Content. Re-downloading Content you already obtained does not use another download.
• When you reach your allowance, further downloads are blocked until it resets.
• On any Plan, we may pause downloads that indicate bulk harvesting, scraping, or automated access.

8. Free Watermarked Downloads

Free watermarked copies are for evaluation and personal reference only. The watermark must stay intact. A watermarked copy is not licensed for any public, commercial, or monetized use. To use a clip, get a Plan or buy the clip to receive a licensed Master.

9. Audio and Music

Masters contain no third-party music. You are responsible for licensing any music you add to your End Products.

10. Vehicles, Trademarks, and Releases

Content shows real vehicles that may display manufacturer names, logos, badges, and designs, and may show people, license plates, or private property. Cars4k does not provide model, property, or trademark releases. Your license covers Cars4k's copyright in the Content only. It gives you no rights in any trademark, design, or likeness. You are responsible for any additional rights your use requires.

11. Ownership

The Content and all related intellectual property are owned by Cars4k or its licensors. You own the original material you add and your End Product as a whole, but not the Content within it.

12. Term and Termination

This Agreement applies from your first download and continues as long as you use the Content. If you materially breach this Agreement, your license to the affected Content ends automatically, and Cars4k may suspend or terminate your account. You must then stop using the affected Content and remove it, where practical, from any End Product not yet published. Licenses to Content lawfully downloaded and already used in published End Products survive termination, except where the breach involves that Content.

13. Warranty and Indemnity

Cars4k warrants that it has the right to grant the licenses in this Agreement. If you comply with this Agreement, Cars4k will defend and indemnify you against third-party claims that your licensed use of an unmodified Master infringes that third party's copyright. This indemnity is subject to the limitation of liability in Section 14 of the Terms of Service. It does not cover use outside your Plan's scope, modified Content, any use requiring a model, property, or trademark release, or any claim based on a trademark, design, logo, or likeness shown in the Content. Except for this warranty, Content is provided "as is" as described in the Terms of Service.

14. Changes to This Agreement

We may update this Agreement. The version in effect when you downloaded a piece of Content continues to govern that Content. Changes apply only to Content downloaded after they take effect. Material changes will be announced as described in the Terms of Service.

15. Disputes

Disputes about this Agreement are governed by the Dispute Resolution and Governing Law sections (Sections 17 and 18) of our Terms of Service.
